Answers

Common questions

What is financial due diligence?

A detailed check of the target's accounts, tax, debts, contracts and cash flows, so you know what you are buying and can negotiate price and warranties.

Share purchase or asset purchase: which is better?

It depends on tax, liabilities and licences. A share purchase is simpler but takes on past liabilities; an asset or slump sale is cleaner but can cost more in stamp duty and tax. We compare both for your deal.

Can small companies merge without a long tribunal process?

Yes. The Companies Act allows a fast-track merger for small companies and between holding and wholly owned subsidiaries, approved by the Regional Director rather than the tribunal, which is usually quicker.

Is the process confidential?

Yes. We sign an NDA before you share anything, and buyers or sellers see only what you approve.
